1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and Socielite regarding your use of our website, mobile application, and social casino services (collectively, the “Services”). By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

4. Account Registration and Security

4.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

4.2 One Account Per Person

You may only create one account. Creating multiple accounts may result in suspension or termination of all your accounts.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or abusive behavior.

5. Virtual Currency and In-App Purchases

5.1 Nature of Virtual Currency

Virtual currency, virtual items, and virtual goods (collectively “Virtual Items”) available through our Services have no real-world value. Virtual Items are not your property and constitute a limited, personal, non-transferable, non-sublicensable, revocable license to use such Virtual Items.

5.2 No Monetary Value

Virtual Items:

• Have no monetary value and cannot be redeemed for cash
• Cannot be transferred, sold, or traded to other users or third parties
• Cannot be exchanged for anything of value outside the Services
• Do not constitute property or currency
• Are provided “as is” without any warranty

5.3 Optional Purchases

Our Services are free to play. However, we may offer optional in-app purchases of Virtual Items. All purchases are final and non-refundable, except where required by applicable law.

5.4 No Guarantee

We do not guarantee the continuous availability of any Virtual Items. We reserve the right to modify, suspend, or discontinue any Virtual Items at any time without notice or liability.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

6.1 Account-Related Prohibitions

• Creating accounts if you are under 18 years of age
• Sharing your account credentials with others
• Creating multiple accounts for the same person
• Selling, trading, or transferring your account

6.2 Technical Prohibitions

• Using bots, scripts, or automated tools to access or use the Services
• Reverse engineering, decompiling, or disassembling any part of the Services
• Exploiting bugs, glitches, or vulnerabilities for personal gain
• Attempting to gain unauthorized access to our systems or other users’ accounts
• Interfering with or disrupting the Services or servers

6.3 Content and Conduct Prohibitions

• Harassing, threatening, or abusing other users
• Posting or transmitting offensive, hateful, or discriminatory content
• Impersonating other persons or entities
• Posting spam, advertisements, or solicitations
• Violating any applicable laws or regulations

6.4 Commercial Prohibitions

• Using the Services for any commercial purpose without our written permission
• Selling or attempting to sell Virtual Items for real money
• Operating gambling services using our platform

7. Intellectual Property Rights

7.1 Ownership

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and game mechanics, are the exclusive property of Socielite or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial entertainment purposes, subject to these Terms.

7.3 Restrictions

You may not:

• Copy, modify, distribute, or create derivative works from our content
• Use our trademarks, logos, or branding without written permission
• Frame or mirror any part of the Services
• Remove or alter any copyright, trademark, or proprietary notices

8. User-Generated Content

8.1 Your Content

If you submit, post, or display content through our Services (“User Content”), you retain ownership of such content. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, and display the User Content in connection with the Services.

8.2 Content Standards

Your User Content must not:

• Violate any third-party rights
• Contain illegal, offensive, or harmful material
• Contain viruses or malicious code
• Infringe on intellectual property rights

8.3 Content Moderation

We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion.

9. Disclaimers and Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIELITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES.

9.3 Maximum Liability

Our total liability to you for any claims arising from your use of the Services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Socielite, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use or misuse of the Services
• Your User Content

11. Modifications to Services and Terms

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

11.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@socielite.com.

12.2 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

12.3 Effect of Termination

Upon termination:

• Your right to access and use the Services will cease immediately
• All licenses granted to you will terminate
• You will lose access to all Virtual Items associated with your account
• We are not obligated to provide refunds for any purchases

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

13.2 Arbitration

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Socielite regarding the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.
